2. Eligibility and Authority

You must have the legal capacity to enter into a binding agreement to use our services. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Services

We provide web development, web design, WordPress design and development, and user experience design services. Where applicable, we may also offer custom software development, SaaS products, applications, platforms, and APIs.

4. Professional and Project-Based Services

Project-based professional services may be governed by a separate proposal, statement of work, or project agreement. A specific signed agreement will control where it conflicts with these general Terms, subject to applicable law.

5. Proposals, Quotations and Scope

Proposals and quotations define the scope, deliverables, assumptions, timelines, exclusions, and validity for a given project. Work beyond the defined scope may require a change order and incur additional fees.

6. Customer Responsibilities

You agree to provide timely information, approvals, access, content, and cooperation necessary for us to perform the services. You are responsible for ensuring all provided materials are lawful and appropriate.

7. Accounts

If applicable future products require an account, you must maintain accurate information and protect your account security. You are responsible for all activities that occur under your account.

8. Acceptable Use

You agree not to misuse our services. Prohibited actions include unlawful activity, interference with services, abuse, unauthorized access, transmitting malware, and infringing on intellectual property rights.

9. Software and SaaS Licence

Where applicable, we grant you a limited, non-exclusive, non-transferable right to use our software or SaaS products subject to the terms of the applicable product agreement.

10. Customer Content and Data

You retain your rights to the materials you provide to us, subject to the permissions necessary for us to provide the services.

11. Intellectual Property

We retain all rights, title, and interest in our pre-existing intellectual property, tools, methods, frameworks, reusable components, know-how, and brand assets.

12. Client Deliverables and Ownership

For project work, the ownership or licence of final deliverables depends on the applicable proposal or agreement and full payment of associated fees.

13. Client Materials

You represent and warrant that you have all necessary rights, licenses, and permissions to supply any materials you provide to us for use in the services.

14. Third-Party and Open-Source Materials

Deliverables or services may incorporate third-party or open-source components, which remain subject to their respective separate licences.

15. Portfolio and Publicity

We may request permission to display completed work in our portfolio or for publicity purposes. We will honor confidentiality agreements and reasonable client privacy requirements.

16. Feedback

Any feedback or suggestions you provide may be used by us to improve our services without obligation or compensation to you, provided we do not disclose your confidential information.

17. Third-Party Services and Integrations

External services and integrations remain governed by their respective providers' terms and privacy policies. We are not responsible for third-party services.

18. AI and Automated Technologies

We may use AI-assisted tools or automated technologies in our workflows or services where appropriate. We do not guarantee fully automated delivery or outcomes.

19. Fees and Payment

Fees and payment terms are generally governed by the applicable quotation, proposal, invoice, or agreement.

20. Subscriptions and Recurring Services

Where applicable, subscription and recurring services will be subject to the terms, billing cycles, and conditions set forth at the time of purchase or in the relevant agreement.

21. Cancellations and Refunds

Project-specific and subscription-specific cancellation and refund terms may vary and will be defined in the applicable agreement or policy.

22. Taxes

Fees may be subject to applicable taxes, for which you are responsible, except for taxes based on our net income.

23. Changes to Services and Pricing

Future services and pricing may be subject to change. Such changes will not retroactively affect existing contractual commitments without notice or agreement.

24. Availability and Maintenance

For applicable digital services, availability may be interrupted by maintenance, updates, or circumstances outside our reasonable control.

25. Beta and Experimental Features

Where applicable, beta or experimental features may change, be discontinued, or carry additional limitations compared to general release services.

26. Confidentiality

Where confidential information is exchanged, both parties agree to protect it subject to the applicable agreement and legal obligations.

27. Privacy and Data Protection

Your use of our services is subject to our Privacy Policy and any applicable Data Processing Agreement.

28. Security Responsibilities

Security is a shared responsibility. While we implement reasonable safeguards, you are responsible for maintaining the security of your systems and credentials.

29. Suspension

For applicable services, we may suspend access for non-payment, security risks, misuse, material breach, or legal requirements where appropriate.

30. Termination

Termination of services may occur under the conditions outlined in the applicable agreement or these Terms.

31. Effect of Termination

Upon termination, outstanding fees become due, access may cease, and rights intended to survive termination will remain in effect. Data handling will proceed as applicable.

32. Warranties and Disclaimers

41. Changes to Terms

We may update these Terms from time to time. Revised Terms will be posted with an updated effective date.

42. Entire Agreement

These Terms, along with any project-specific agreements, constitute the entire agreement between you and Infinex Loop regarding the services.

43. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
